Terms of Service

Effective:

In Plain English

  • These terms govern your use of entection.com and form the general framework for working with us.
  • Specific project work is governed by separate written proposals, statements of work (SOWs), or master service agreements (MSAs).
  • ENTECTION delivers services through a vetted network of licensed installation partners — the engagement framework reflects that model.
  • Texas law governs these terms. Disputes are resolved in Harris County, Texas.
  • If you don't agree with these terms, please don't use the Site.

01Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "User") and ENTECTION LLC, a Texas limited liability company ("ENTECTION," "we," "us," or "our"), governing your access to and use of the website located at entection.com (the "Site") and any related services, content, or communications offered through the Site.

By accessing or using the Site — including by submitting an inquiry form, partner application, or SMS opt-in — you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

02Description of Services

ENTECTION is a facilities management and program delivery company. We plan, coordinate, and manage low-voltage and infrastructure programs — including structured cabling, data center services, distributed antenna systems (DAS), audio video, technology refreshes, moves/adds/changes, and nationwide rollouts — on behalf of clients.

ENTECTION delivers physical installation work through a vetted network of independent, licensed installation partners ("Partners"). ENTECTION provides program management, scope definition, scheduling, coordination, quality oversight, documentation, and close-out. Where required by applicable law or scope, licensed Partners perform the regulated installation work.

The Site provides informational content about ENTECTION's services and includes forms through which prospective clients, partners, and other parties may contact us. Submission of an inquiry form does not, by itself, create a service relationship.

03Engagement Framework

These Terms govern general use of the Site. The specific terms of any project engagement between ENTECTION and a client are governed by separate written agreements, which may include:

  • A proposal or quote
  • A statement of work (SOW)
  • A master service agreement (MSA)
  • Purchase orders and acceptance documentation

In the event of any conflict between these Terms and an executed project agreement, the project agreement controls with respect to the work covered by that agreement. These Terms continue to govern general use of the Site and any matters not addressed in the project agreement.

Pricing, scope, schedule, deliverables, warranties, and payment terms for specific project work are established in the applicable project agreement, not on the Site.

04Eligibility

The Site is intended for use by businesses, professionals, and authorized representatives acting on behalf of a business entity. By using the Site, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into binding agreements;
  • If using the Site on behalf of a company or organization, you are authorized to bind that entity to these Terms;
  • You will provide accurate, current, and complete information when submitting any form;
  • Your use of the Site will comply with all applicable laws and these Terms.

05Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any manner that could disable, overburden, damage, or impair its operation;
  • Attempt to gain unauthorized access to the Site, related systems, or other users' accounts;
  • Use any automated means (including bots, scrapers, or spiders) to access the Site without our prior written consent;
  • Submit false, misleading, or fraudulent information through any form;
  • Use the Site to transmit any malicious code, viruses, or other harmful technology;
  • Use the Site to harass, threaten, defame, or otherwise infringe the rights of any person;
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site without express written permission.

06Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, images, software, design, and the compilation of the foregoing — is the property of ENTECTION or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for legitimate business inquiry purposes. No other rights are granted by implication or otherwise.

07User Submissions

If you submit information, requests for proposal (RFPs), project documentation, or other materials to ENTECTION through the Site or otherwise, you represent that you have the right to submit such materials and grant ENTECTION a non-exclusive, royalty-free license to use them for the purpose of responding to your inquiry, preparing proposals, and evaluating prospective engagements.

ENTECTION will treat confidential business information as such when reasonably identified as confidential. However, ENTECTION is not obligated to maintain in confidence any information that: (a) is or becomes publicly known through no fault of ENTECTION; (b) was already known to ENTECTION at the time of disclosure; (c) is independently developed by ENTECTION; or (d) is required to be disclosed by law.

For sensitive or confidential information exchanges, a separate non-disclosure agreement (NDA) is recommended and can be requested by contacting us.

08Third-Party Links & Services

The Site may contain links to third-party websites or services that are not owned or controlled by ENTECTION. ENTECTION has no control over and assumes no responsibility for the content, privacy practices, or operations of any third-party site. You acknowledge and agree that ENTECTION is not responsible or liable, directly or indirectly, for any damage or loss caused by use of or reliance on any third-party content, goods, or services.

09Disclaimers

The Site and all content, information, and materials provided through the Site are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied.

The disclaimers in this section apply to your use of the Site. Warranties applicable to specific project services performed by ENTECTION or its Partners are addressed exclusively in the applicable project agreement.

10Limitation of Liability

The foregoing limitations apply to your use of the Site. Liability with respect to specific project services performed by ENTECTION or its Partners is addressed exclusively in the applicable project agreement.

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent any limitation in this section is not enforceable in your jurisdiction, ENTECTION's liability is limited to the maximum extent permitted by law.

11Indemnification

You agree to defend, indemnify, and hold harmless ENTECTION, its members, officers, employees, agents, and Partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your violation of these Terms; (b) your misuse of the Site; (c) your violation of any applicable law or any rights of a third party; or (d) any information or content you submit through the Site.

12Termination

ENTECTION reserves the right to suspend or terminate your access to the Site at any time, with or without notice, for any reason, including but not limited to your breach of these Terms. Termination of access to the Site does not affect rights or obligations that have accrued prior to termination, nor does it affect any executed project agreement.

Sections of these Terms that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and General Provisions — will survive termination.

13Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13.1 Informal resolution

Before initiating any formal proceeding, you agree to first attempt to resolve any dispute informally by contacting ENTECTION at the address below. We will attempt in good faith to resolve any dispute within thirty (30) days of receiving your written notice.

13.2 Venue

Any dispute not resolved informally shall be brought exclusively in the state or federal courts located in Harris County, Texas. You and ENTECTION consent to the personal jurisdiction of those courts and waive any objection to venue.

13.3 Equitable relief

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or to enforce confidentiality obligations.

14General Provisions

14.1 Entire agreement

These Terms, together with the Privacy Policy and any project agreement between you and ENTECTION, constitute the entire agreement between you and ENTECTION regarding your use of the Site.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 No waiver

ENTECTION's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without ENTECTION's prior written consent. ENTECTION may assign or transfer these Terms without restriction.

14.5 Modifications

ENTECTION may modify these Terms at any time by posting an updated version on the Site. The "Effective" date at the top of these Terms reflects the date of the most recent update. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms. Material changes will be reasonably noticed (such as via a Site banner or direct email where appropriate).

14.6 Force majeure

ENTECTION will not be liable for any failure or delay in performance resulting from causes outside its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, internet outages, supply chain disruptions, or pandemics.
